This Online Training Program (www.etilearn.com) is copyright 2002 to 2006 by Effective Training Inc. All rights are protected by applicable copyright or other intellectual property laws and treaties. Effective Training Inc. reserves any and all rights not expressly granted within this agreement.

YOUR RIGHTS AND LIMITATIONS

Subject to the following restrictions, Effective Training Inc. (“LICENSOR”) grants registered users (“LICENSEES”) use of Effective Training’s online training course (“ONLINE COURSEWARE”) through the LICENSOR’S Learning Management System at etilearn.com. Users of the ONLINE COURSEWARE must sign on with their own unique login information. Usernames and passwords cannot be shared among two or more people. The courseware MAY NOT be used in classroom settings and MAY NOT be projected electronically. Registered users must have their own usernames and passwords to access the course.

Termination – This License Agreement is in effect until ONLINE COURSEWARE access expiration. Unauthorized use of the ONLINE COURSEWARE will result in automatic termination of this License Agreement. Without prejudice to any other rights, LICENSOR may terminate this License Agreement if LICENSEE fails to comply with any term or condition of this License Agreement. Upon termination of this License Agreement, LICENSEE will no longer have access to any course.

Support Services – LICENSOR may provide LICENSEE with customer and technical support services related to the ONLINE COURSEWARE (“Support Services”).

RESTRICTIONS

LICENSEE and/or company LICENSEE works for may not transfer the rights to use this ONLINE COURSEWARE to another person and/or another company. In addition, you may not otherwise rent, lease, sub-license, timeshare, or lend the use of the ONLINE COURSEWARE. You may not otherwise modify, alter, adapt, merge, translate, decompile, or reverse-engineer the ONLINE COURSEWARE, and you may not remove or obscure LICENSOR’S copyright or trademark notices.

OWNERSHIP

Title, ownership rights and intellectual property rights in and to the ONLINE COURSEWARE program shall remain in possession of LICENSOR and its suppliers and are protected by US and international copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The ONLINE COURSEWARE is licensed not sold. There is no transfer to LICENSEE of any title or ownership of the ONLINE COURSEWARE and the license granted under this agreement should not be construed as sale of any right on the ONLINE COURSEWARE. LICENSEE must treat the ONLINE COURSEWARE like any other copyrighted material (e.g., a book or musical recording). LICENSEE may not make screen shots of the ONLINE COURSEWARE. All rights not specifically granted under this License Agreement are reserved by LICENSOR.

DISCLAIMER OF WARRANTY

THIS ONLINE COURSEWARE IS PROVIDED AND SOLD "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE ONLINE COURSEWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE ONLINE COURSEWARE WILL BE ERROR-FREE, OR THAT ANY DEFECTS DISCOVERED IN THE ONLINE COURSEWARE WILL BE CORRECTED.

FURTHERMORE, LICENSOR DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE ONLINE COURSEWARE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, LOSS OF BUSINESS PROFITS OR SPECIAL DAMAGES, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE LIABILITY WILL BE LIMITED TO THE AMOUNT OF MONEY LICENSOR RECEIVED FROM LICENSEE FOR THE USE OF THE ONLINE COURSEWARE.

COMPLETE AGREEMENT

This License constitutes the entire agreement between the parties with respect to the distribution and use of the ONLINE COURSEWARE, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by a duly authorized representative of Effective Training Inc.

The provisions in this Agreement are necessary for the protection of the business and goodwill of Effective Training Inc. and are considered by the LICENSEE to be reasonable for such purposes. The LICENSEE agrees that any breach of this Agreement will cause Effective Training Inc. substantial and irreparable damages and, therefore, in event of any such breach, in addition to other remedies that may be available, Effective Training Inc. shall have the right to seek specific performance and other injunctive and equitable relief.

This Agreement will be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.

This Agreement shall be governed by the laws of the State of Michigan, United States of America.
